Termination: We may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice. If you wish to terminate this Agreement or your account (if you have one), you may simply discontinue using the Service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers and limitations of liability.
Jurisdiction: This Agreement shall be governed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents; provided however that certain international aspects may be subject to foreign laws and regulations. By using the Service, you consent to exclusive jurisdiction and venue in the state and federal courts located in California.
Miscellaneous: This Agreement constitutes the entire agreement between us regarding the use of the Service. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. The parties agree that no joint venture, partnership, employment or agency relationship exists between you and us as a result of this Agreement or your use of the Service. Our performance under this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by us with respect to such use. A printed version of this Agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. This Agreement may not be assigned by you without our prior written approval; however, we may assign this Agreement without restriction.
